User's IP (Inventions): You agree that all inventions, intellectual property, and creative work (collectively, 'Inventions') conceived or created by you while using the Services and related to the Company's business shall be the sole property of the Company. You agree to promptly disclose and assign all rights to such Inventions to us.
User's IP (Data): Your proprietary enterprise data that you upload to our platform remains your intellectual property. You grant us a limited, non-exclusive license to use this data solely for the purpose of providing and improving the Services (e.g., for AI model training via federated learning).
4. Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.
5. Disclaimer of Warranties
The Services are provided on an 'AS IS' and 'AS AVAILABLE' basis. We make no representations or warranties of any kind, express or implied, as to the operation of their Services or the information, content, or materials included therein. You expressly agree that your use of the Services is at your sole risk.
6. Limitation of Liability
In no event shall Nexotropi, Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.
8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
